Welcome to High Opportunity Technology LLC ("we," "us," or "our"). By accessing or using our website and services, you agree to be bound by these Terms and Conditions ("Terms"). These Terms govern the relationship between High Opportunity Technology LLC, Therapy Providers (independent contractors), and clients seeking non-medical social therapy services. If you do not agree with these Terms, please do not use our services.

1. Nature of Services

High Opportunity Technology LLC operates a platform that connects independent contractors, referred to as Therapy Providers, with clients seeking non-medical social therapy and companionship services. Our services are strictly non-medical in nature and are intended to provide companionship and social interaction only.

2. Role of High Opportunity Technology LLC

We provide a technology platform that facilitates connections between Therapy Providers and clients. The fees we collect from clients are solely for the use of our technology services, including access to our platform, scheduling tools, and payment processing. High Opportunity Technology LLC does not provide social therapy or companionship services directly.

3. Independent Contractor Status

Therapy Providers are independent contractors and not employees, agents, or affiliates of High Opportunity Technology LLC. As such, Therapy Providers are responsible for their own actions, conduct, and compliance with all applicable laws and regulations while providing services to clients.

4. Payment and Compensation

• Client Payments: Clients pay High Opportunity Technology LLC for services rendered by Therapy Providers. A percentage of the funds collected from clients is retained by High Opportunity Technology LLC as a fee for the use of our technology platform.
• Therapy Provider Compensation: Therapy Providers receive compensation for their time and companionship services provided to clients. Compensation is distributed after High Opportunity Technology LLC deducts its technology service fee.
• No Additional Services: Compensation to Therapy Providers is strictly for time and companionship. No other services are permitted or compensated under this agreement.

5. Liability Disclaimer

• No Liability for Harm: High Opportunity Technology LLC is not responsible for any harm, injury, or damages that may occur to a Therapy Provider as a result of interactions with a client. Therapy Providers engage with clients at their own risk.
• No Liability for Illegal Activities: High Opportunity Technology LLC is not responsible for any illegal activities conducted by Therapy Providers or clients. Both parties are expected to comply with all applicable local, state, and federal laws.
• Disputes: Any disputes between Therapy Providers and clients are the responsibility of those parties. High Opportunity Technology LLC is not liable for resolving or mediating such disputes.

6. Responsibilities of Therapy Providers

Therapy Providers agree to:

• Provide companionship and social therapy services in a professional and lawful manner.
• Maintain their status as independent contractors, including managing their own taxes, insurance, and compliance with applicable regulations.
• Refrain from engaging in any activities outside the scope of non-medical companionship services.

7. Responsibilities of Clients

Clients agree to:

• Use the platform to engage Therapy Providers for non-medical companionship services only.
• Pay for services through High Opportunity Technology LLC's payment system.
• Comply with all applicable laws and treat Therapy Providers with respect and professionalism.

8. Termination of Services

High Opportunity Technology LLC reserves the right to terminate or suspend access to our platform for any Therapy Provider or client who violates these Terms, engages in illegal activities, or otherwise misuses the services.

9. Indemnification

To the fullest extent permitted by law, Therapy Providers and clients (collectively, "Users") agree to indemnify, defend, and hold harmless High Opportunity Technology LLC, its affiliates, officers, directors, employees, agents, successors, and assigns (collectively, the "Company") from and against any and all claims, demands, actions, suits, liabilities, damages, losses, costs, or expenses, including but not limited to reasonable attorneys’ fees, arising out of or relating to: (a) any interaction, conduct, or transaction between a Therapy Provider and a client, including but not limited to personal injury, property damage, emotional distress, or any other harm alleged to have resulted from such interaction; (b) any breach by a User of these Terms and Conditions or applicable law; (c) any negligent, reckless, or intentional act or omission by a Therapy Provider or client during the provision or receipt of companionship services; or (d) any dispute between a Therapy Provider and a client. The Company shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the actions or omissions of Therapy Providers or clients, as Therapy Providers are independent contractors and not employees or agents of the Company. Users acknowledge that their use of the Company’s platform is at their sole risk, and the Company’s role is limited to providing technology services to facilitate connections between Therapy Providers and clients.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in United States, Florida.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with the effective date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
